hereinafter referred to as Artist.
1. Artist Requirements: Artist agrees to pay $25.00 for members of Frederick l'Ecole des Arts and $50.00 for nonmembers per each space or any portion thereof required. 2. Regular electrical service will be provided.
3. BOOTH SPECIFICATIONS:
Your booth must be attractive and professional in appearance. Should you wish to be located near another artist, please note other Artist's name.
Although we are unable to guarantee placement we will do our best to accomodate your needs. Your canopy must be secured. You must provide your own lighting, tables and chairs.

5. Artist vendors will be selected based on quality of products and customer service rendered. Efforts will be made to eliminate duplication. We may need to ask you to make some minor adjustments to assure no duplication of major items. First artist officially entered receives placement.
6. OPERATION TERMS:
A. Comply with federal, state and local laws.
B. Clean your own area as per inspection by management. Throw all garbage and debris into dumpsters (NOT in the containers by your booth or throughout the site).
C. Restrict all activities and advertising matter to space assigned.
D. Be open and ready for business by 9:00 a.m., December 5th
E. Do not dismantle until AFTER 11:00 p.m., December 5th.
F. Artist agrees to be staffed at all times the Celebrationl is in operation.
G. Do not use or have on site any sound amplifying device without the written permission of Festival Director or Celebration representative.
H. Abide by all conditions, rules and regulations written or oral, made by Celebration Director or designated representative at any time.
I. Promptly close any booth or remove any product which in the sole discretion of the Fire and Water Celebration Director or Site Manager is not appropriate for sale on the site.
J. Please, no pets, outside food or drinks. Absolutely no ice chests.
7. LIABILITIES: It is agreed the Frederick l'Ecole des Arts, Inc.,(Fire and Water Le Feu et l'Eau - Rural Arts Celebration), in granting this contract, is not employing or in any manner assuming responsibility for the acts of the Vendor or its employees. The Artist agrees to operate the booth in a safe and tasteful manner, and to comply with the laws or regulations of the Corporation, the State of Louisiana, the Parish of St. Martin, the Town of Arnaudville and the Frederick l'Ecole des Arts, Inc. as well as all employees of the Corporation, and to obtain any and all necessary permits and licenses required by the STATE, PARISH OF ST MARTIN, CITY OF ARNAUDVILLE, AND FIRE AND WATER- LE FEU ET L'EAU RURAL ARTS CELEBRATION.
8. HOLD HARMLESS: Artist, as a condition of participation, the above named Artist(s) and/or individual(s) agree to indemnify and hold harmless the City of Arnaudville, the non-profit organization known as the Frederick l'Ecole des Arts, Inc.,its officers, directors, committee members, employees, volunteers, sponsors, contractors, and agents from any and all claims, actions, suits, losses, damages, liability of every type and nature, including (but not limited to) all costs and legal expenses incurred by the Applicant or any other party, by reason of any activity arising under or in connection with the Applicant’s participation in the Fire and Water - Le Feu et l'EauRural Arts Celebration, including (but not limited to): personal injury, property damage arising from or out of any occurrence, omission, error, or negligence arising from any activity related to said participation. In the event that any litigation is commenced by or against the Applicant, his/her/its heirs or assigns, then the Applicant shall proceed and hold harmless the Arnaudville Chamber of Commerce, its officers, directors, committee members, employees, volunteers, sponsors, contractors, and agents, and shall pay all costs, expenses, and reasonable attorney’s fees incurred or paid by the aforementioned entities in connection with such litigation.
9. ARTIST RESPONSIBLE: CORPORATION assumes no liability for damages to goods or property of Artist or any liability for damages to persons or property arising out of or suffered, directly or indirectly, in connection with this contract or Artist use of the premises. Artist agrees that the address indicated on this contract will be its address for service of process and that if for any reason that address is unavailable, CORPORATION is designated its agent for service of process in any action arisen out of its use of the Fire and Water - Le Feu et l'Eau Rural Celebration site.
10. CONDITION OF BOOTH: Artist must leave their assigned area in a clean and orderly condition.
11. SUBLETTING PROHIBITED: Artist shall not sublet or assign any privilege or portion of the space covered by this agreement.
12. CANCELLATION AND REFUND: If Artist provides CORPORATION written notice of Artist’s intent to cancel this agreement more than sixty (60) days before the opening day of the Fire and Water - Le Feu et l'Eau Rural Arts Celebration, CORPORATION will cancel this agreement and refund 100% of any advance payments made by Artist. If Artist provides more than thirty (30) days but less than sixty (60) days written notice, CORPORATION will cancel this agreement and refund 50% of any advance payments made by Artist. Artist may not otherwise cancel this agreement or obtain a refund except with the express written consent of CORPORATION DIRECTOR, which may be granted or withheld in her/his sole discretion.
13. TERMINATION BY CORPORATION: CORPORATION may terminate this agreement and the privileges granted by it, if:
A. At any time CORPORATION in its discretion determines a need for the premises which is inconsistent with use and occupancy by Artist. In this event CORPORATION’S sole liability to Artist shall be limited to refund of a share of any advance payments in proportion to the period of use and occupancy realized as against the original contract term, or;
B. Upon violation of any term or condition of this agreement by Artist. CORPORATION may retain any advance payments and may pursue other legal remedies as it determines appropriate.
14. GOVERNING LAW AND VENUE: This agreement shall be governed by the laws of the State of Louisiana .
The parties hereby agree to the terms and conditions of this contract. This document takes effect when signed by both parties.

THE CELEBRATION IS HELD OUTDOORS ON NATURAL TERRAIN. SOMETIMES SET-UP CAN BE DELAYED DUE TO WET GROUND AND WEATHER. CORPORATION IS NOT RESPONSIBLE FOR THE WEATHER, AND NO REFUNDS WILL BE GIVEN SHOULD YOU DECIDE NOT TO SET-UP OR COOPERATE WITH THE CORPORATION IN THEIR ATTEMPTS TO ACCOMMODATE YOU.
